Terms of service.

1. The agreement

These Terms of Service form an agreement between you and Genysis IQ, a business consultancy based in Orlando, Florida. They apply when you use www.genysisiq.com, the advisor dashboard, the AI assistants, the File depot, or the chat assistant on this website.

By using any of it you accept these terms. If you are accepting on behalf of a company, you confirm you are authorised to bind that company, and "you" means that company. If you do not accept these terms, do not use the service.

Our Privacy Policy forms part of this agreement. Where we have a separate signed consulting agreement with you, that agreement governs the consulting work and prevails over these terms if the two conflict.

2. What we provide

Genysis IQ provides business scaling and architecture, systems and process design, sales development, practical AI strategy including penetration testing and security assessment, and digital presence work. The website describes what we do in general terms; the scope of any actual engagement is agreed separately in writing.

The advisor dashboard gives approved companies access to AI assistants configured by Genysis IQ, conversation history, and file storage. Access to each of these is granted per account and can be changed or withdrawn.

3. Accounts

Dashboard accounts are created by registration and activated by Genysis IQ. Registering does not entitle you to access — we approve accounts at our discretion.

• Give accurate registration details and keep them current.
• Keep your password confidential. You are responsible for everything done under your account, including by your staff.
• Tell us promptly at info@genysisiq.com if you believe your account has been compromised.
• Do not share credentials, or let anyone outside your company use your account.

Sessions sign out automatically after a period of inactivity. That is a safeguard, not a substitute for looking after your own credentials.

4. Acceptable use

You agree not to:

• Use the service for anything unlawful, or to store or transmit unlawful material
• Infringe anyone's copyright, trademark, trade secrets or other rights
• Upload or transmit malware, or anything designed to damage or gain unauthorised access to a system
• Attempt to access another company's data, probe or test our systems, or circumvent any access control — authorised security testing is a service we sell, and requires written permission before it begins
• Reverse engineer, scrape, or resell the service or any part of it
• Use the AI assistants to generate unlawful, deceptive or harmful content, or to impersonate a person or organisation
• Place unreasonable load on the service, or interfere with anyone else's use of it

5. AI assistants

Assistants are powered by third-party large language models. Your messages are sent to that provider to generate a reply, as described in our Privacy Policy.

AI output is not professional advice — not legal, financial, accounting, tax, medical, employment or security advice — and no advisor-client or other professional relationship is created by using an assistant. You are responsible for how you use what it produces.

Do not enter passwords, payment card numbers, government identifiers, protected health information, or other sensitive data into a chat. Between us, you own the prompts you write and the output generated for you. The instructions Genysis IQ writes to configure an assistant remain ours.

Assistants are subject to usage limits. We may cap, throttle or suspend usage to keep the service available to everyone.

6. Text messages and phone calls

Our phone line

Our number, 689.388.7353, is answered 24 hours a day by an automated assistant that can answer questions and book appointments. It will tell you it is an automated assistant. Ask for a person at any point and we will call you back, or email info@genysisiq.com instead.

Text messaging program

Genysis IQ Customer Care. If you give us your mobile number and agree to receive texts, we may send you appointment confirmations and reminders, replies to questions you have asked us, scheduling and follow-up messages relating to your engagement, and occasional service updates about work we are doing for you.

• Consent is not a condition of any purchase. You can work with Genysis IQ without ever receiving a text.
• Message frequency varies and depends on your activity with us.
• Message and data rates may apply. Ask your mobile carrier about your plan.
• You must be the subscriber of the mobile number you give us, or authorised to use it.
• Carriers are not liable for delayed or undelivered messages.

How to stop messages

Reply STOP to any message to unsubscribe. We will send one confirmation that you have been unsubscribed, and then stop. STOP, END, CANCEL, UNSUBSCRIBE and QUIT are all honoured. You can also email info@genysisiq.com or call 689.388.7353 and ask us to remove your number.

Mobile numbers and messaging consent are handled under our Privacy Policy. In short: we never sell them, and we never share them with anyone for marketing.

7. File depot

Uploading is disabled by default and enabled only on request. Before your first upload you must accept the upload terms shown in the dashboard, which form part of this agreement.

You are fully and solely liable for every file uploaded under your account, including files uploaded by your staff — for its contents, its legality, and your right to store and share it. We provide the storage. We do not author, review or vet what you put into it.

If we become aware of unlawful or prohibited material in your file space, we may without prior notice suspend your account, remove all files in it including lawful ones stored alongside, retain copies where legally required, and report the matter to law enforcement.

The depot is a working store, not a backup service. Keep your own copies of anything you cannot afford to lose. Files are limited to 50 MB each.

8. Advice and results

Consulting outcomes depend on factors outside our control — your market, your people, your execution, and conditions none of us can predict. Genysis IQ does not guarantee any particular business result, including revenue growth, cost reduction, valuation, or the outcome of any decision made using our work.

Nothing on this website, in the dashboard, or said by an assistant is a promise of results, a fixed price, or a commitment to a timeline. Those exist only in a written agreement signed by both of us.

9. Fees and engagements

We do not publish pricing. Fees, scope, deliverables, timelines and payment terms are agreed in writing for each engagement before work begins. Website and dashboard access provided as part of an engagement carries no separate charge unless we have said otherwise in writing.

10. Intellectual property

The Genysis IQ name, logo, the CASPER framework, this website, its design and its content are owned by Genysis IQ and protected by intellectual property law. Nothing here transfers ownership to you.

You keep ownership of the material you supply to us and the files you upload. You grant us a limited licence to use that material only as needed to provide the service to you.

Ownership of deliverables produced in a consulting engagement is set out in the agreement for that engagement.

11. Confidentiality

Each of us may learn confidential information about the other. Both of us agree to use it only to perform this agreement, to protect it with at least reasonable care, and not to disclose it — except to people who need it and are bound to keep it confidential, or where the law requires disclosure.

This does not apply to information that is already public, that the receiving party already knew, or that it develops independently.

12. Availability

We aim to keep the service available but do not promise uninterrupted or error-free operation. We may change, suspend or discontinue any part of it, and we depend on third-party providers whose outages are outside our control. Maintenance may occur at any time.

13. Suspension and termination

You may stop using the service at any time and ask us to close your account. We may suspend or terminate access, without prior notice, if you breach these terms, if we believe your use is unlawful or poses a risk to us or to others, or if required by law.

On termination your right to use the service ends immediately. Sections that by their nature should survive — intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and governing law — continue to apply.

14. Disclaimer of warranties

To the fullest extent permitted by law, the website, dashboard, assistants and file storage are provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, or that output will be accurate, complete or reliable.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

15. Limitation of liability

To the fullest extent permitted by law, Genysis IQ and its owners, staff and contractors are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for lost profits, lost revenue, lost business, lost goodwill or lost or corrupted data, arising out of or relating to the service or these terms — whether in contract, tort or otherwise, and even if we were advised such damages were possible.

Our total aggregate liability arising out of or relating to these terms is limited to the greater of the fees you paid Genysis IQ in the twelve months before the event giving rise to the claim, or one hundred US dollars (US$100).

Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

16. Indemnity

You agree to indemnify and hold harmless Genysis IQ and its owners, staff and contractors from any claim, loss, liability or expense (including reasonable legal fees) arising from your use of the service, the material you upload or submit, your breach of these terms, or your violation of any law or of anyone else's rights.

17. Governing law

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. You and Genysis IQ agree to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida, and each of us waives any objection to that venue.

If any provision is found unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our written consent; we may assign it in connection with a merger or sale of the business.

18. Changes

We may update these terms as the service changes. The date at the top always reflects the current version. Continuing to use the service after a change means you accept the updated terms. If a change materially reduces your rights, we will make reasonable efforts to notify account holders directly.
